Terms of Service

These Terms of Service ("Terms") govern your access to and use of Stellios Genesis, the stellios.io website, and our related products and services (the "Service"), provided by Stellios Technologies Inc. ("Stellios," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance and Modification of Terms

By creating an account, accessing, or using the Service in any way, you accept and agree to be bound by these Terms and our Privacy Policy. We may modify these Terms at any time without prior notice. Your continued use of the Service after any modification constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically. If you do not agree to any modification, you must immediately stop using the Service.

1.1 Definitions. For clarity, the following terms have the meanings given below:

  • "AI Output" means any text, images, code, designs, analyses, simulations, data, or other material generated by the Service's artificial intelligence features.
  • "Content" includes both User Content and AI Output.
  • "Service" means Stellios Genesis, the stellios.io website, our APIs, software, and all related features provided by Stellios.
  • "You" or "User" means the individual or entity using the Service.

These definitions apply throughout these Terms unless otherwise indicated.

2. Eligibility

The Service is available only to individuals who are at least 18 years of age. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. We reserve the right to request proof of age and to terminate accounts that do not meet this requirement, with or without notice.

3. Account Registration and Security

You must provide accurate, complete, and current information when creating an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether authorized or unauthorized. You agree to immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access to your account.

4. Description of Service

Stellios Genesis is an AI-driven engineering and digital-twin platform that assists users in designing, simulating, and analyzing high-energy power and engineering systems. The Service is provided for engineering, research, and informational purposes only and does not constitute professional, safety, regulatory, or certified engineering advice. AI-generated content may contain errors, inaccuracies, or inconsistencies, and must not be relied upon as the sole basis for any design, safety, operational, or business decision. You are responsible for independently reviewing, validating, and verifying all Content before relying on it. You acknowledge that you use the Service and any AI-generated content entirely at your own risk and discretion.

5. Subscription, Licenses, and Payment

5.1 Fees. Certain features of the Service require payment of subscription or license fees. All fees are stated in U.S. Dollars and are non-refundable except where required by an applicable written agreement or by law. By subscribing, you authorize us to charge your designated payment method on a recurring basis according to your selected billing cycle.

5.2 Automatic Renewal. Subscriptions will automatically renew at the end of each billing cycle unless you cancel prior to the renewal date. You are solely responsible for canceling before the next billing cycle. We will continue to charge your payment method until you cancel.

5.3 No Refunds. Except where required by an applicable written agreement or by law, all fees are non-refundable, including if you do not use the Service, cancel, or are dissatisfied. This applies to all partial periods, unused time, and features.

5.4 Price Changes. We reserve the right to change prices at any time. Price changes take effect at the start of the next billing cycle following notice of the change. Your continued use of the Service after a price change constitutes your acceptance of the new price.

5.5 Payment Processing. All payments are processed through third-party payment processors. We are not responsible for any errors, delays, or failures in payment processing. You agree to resolve payment disputes with your financial institution or payment processor.

5.6 Taxes. You are responsible for all taxes associated with your subscription or license, including sales, use, and value-added taxes.

6. User Content and Data

6.1 License to Your Content. By submitting, posting, uploading, or otherwise providing any content through the Service ("User Content"), you grant Stellios a worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, adapt, create derivative works from, and otherwise use your User Content for the purposes of operating, securing, and improving the Service, including evaluating and improving our models and developing new features, in each case subject to our Privacy Policy and any separate written agreement between you and Stellios.

6.2 Ownership and Responsibility. You retain ownership of your User Content but are solely responsible for it. You represent and warrant that you own or have all necessary rights to your User Content and that it does not infringe, violate, or misappropriate any third-party rights, including intellectual property, privacy, or publicity rights.

6.3 Confidentiality. Except as provided in a separate written agreement between you and Stellios, you should not submit confidential or proprietary information through the Service, and we have no obligation to treat User Content as confidential beyond the protections described in our Privacy Policy.

6.4 AI Output and Use Restrictions.

The Service may generate text, code, designs, analyses, or other material ("AI Output") based on your inputs. AI Output is generated automatically and may be inaccurate, incomplete, or inappropriate for your intended use. You are solely responsible for evaluating, validating, and verifying any AI Output before relying on it.

Subject to these Terms and applicable law, and as between you and Stellios, you may use AI Output for your internal and commercial engineering purposes. Stellios makes no representations regarding the ownership, originality, or suitability of AI Output and retains all rights, title, and interest in the models, data, and systems that generate AI Output. You agree not to use AI Output to:

  • Develop or train competing AI systems or models,
  • Misrepresent AI Output as certified, human-reviewed, or professional engineering advice, or
  • Violate any law, regulation, export control, or third-party right.

7. Prohibited Conduct

You agree not to:

  • Violate any applicable law, regulation, or these Terms
  • Infringe or violate the intellectual property, privacy, publicity, or other rights of any third party
  • Use the Service for any illegal, harmful, fraudulent, or deceptive purpose
  • Use the Service in violation of any applicable export control or sanctions law
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
  • Attempt to gain unauthorized access to the Service, user accounts, or computer systems or networks
  • Upload, transmit, or distribute any viruses, malware, or other harmful code
  • Use automated systems, bots, or scripts to access or interact with the Service except through interfaces we expressly authorize
  • Impersonate any person or entity or falsely represent your affiliation with any person or entity
  • Collect, harvest, or store personal information about other users without their consent
  • Use the Service to harass, abuse, threaten, or intimidate any person
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Engage in any activity that we determine, in our sole discretion, to be inappropriate or harmful to the Service or its users

Violation of these prohibitions may result in immediate termination of your account and legal action.

8. Intellectual Property Rights

The Service and all content, features, and functionality, including but not limited to text, graphics, logos, images, software, and AI models, are owned by Stellios or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and any separate written agreement. All rights not expressly granted are reserved.

9. Third-Party Services and Content

The Service may contain links to third-party websites, applications, or services ("Third-Party Services") and may display content provided by third parties ("Third-Party Content"). We do not control, endorse, or assume any responsibility for Third-Party Services or Third-Party Content. Your use of Third-Party Services and Third-Party Content is at your own risk and subject to the terms and policies of those third parties.

10. Termination

10.1 Termination by You. You may terminate your account at any time by following the cancellation procedures in the Service. Termination does not entitle you to any refund except as required by an applicable written agreement or by law.

10.2 Termination by Us. We reserve the right to suspend or terminate your access to the Service, in whole or in part, at any time, for any reason or no reason, with or without notice, and without liability. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent or illegal activity, export-control or sanctions concerns, prolonged inactivity, or our decision to discontinue the Service.

10.3 Effect of Termination. Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, delete your account and User Content. Termination does not affect any rights or obligations that accrued prior to termination. Sections 6, 8, 11, 12, 13, 14, and 15 will survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STELLIOS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. STELLIOS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. STELLIOS DOES NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR USEFULNESS OF ANY CONTENT, INCLUDING AI-GENERATED CONTENT. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STELLIOS, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF STELLIOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL STELLIOS'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS EXCEED THE GREATER OF ONE HUNDRED DOLLARS (US $100) OR THE AMOUNT YOU PAID TO STELLIOS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE MAY NOT APPLY TO YOU. IN SUCH CASES, STELLIOS'S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Stellios, its affiliates, and its and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of any third party; or (e) your violation of any applicable law or regulation. We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution. Before initiating any formal dispute resolution, you agree to contact us at connect@stellios.io and attempt to resolve the dispute informally for at least 30 days.

14.2 Binding Arbitration. If the dispute cannot be resolved informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted in Delaware, USA, or remotely via videoconference. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver. YOU AND STELLIOS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH PARTIES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING.

14.4 Limitations Period. You must commence any arbitration or legal proceeding within one (1) year after the claim arises. Failure to do so will result in the claim being permanently barred.

14.5 Costs and Fees. Each party will bear its own costs and fees in arbitration, including attorneys' fees, unless the arbitrator awards costs and fees to the prevailing party.

15. General Provisions

15.1 Governing Law. These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

15.2 Entire Agreement. These Terms, together with our Privacy Policy and any separate written agreement between you and Stellios, constitute the entire agreement between you and Stellios regarding the Service and supersede all prior agreements, representations, and understandings. In the event of a conflict, a signed written agreement between you and Stellios controls.

15.3 Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

15.4 No Waiver. Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

15.5 Assignment. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign or transfer these Terms or our rights under these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

15.6 Force Majeure. We will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, labor disputes, or Internet or telecommunications failures.

15.7 Export Control. The Service and related technical data may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and, where applicable, the International Traffic in Arms Regulations (ITAR), as well as economic sanctions laws. You agree to comply with all applicable export and import laws and not to submit, access, or transfer export-controlled information through the Service except as expressly authorized in writing by Stellios and permitted by law.

15.8 U.S. Government Rights. If you are a U.S. government entity, the Service is a "commercial item" as defined in FAR 2.101 and is provided with only those rights as are granted to all other users under these Terms.
